These Terms of Use (the “Terms”) govern your access to and use of the AS Upsell & Cross-Sell Shopify app (the “App”) provided by Augmentum Studios Ltd, a company established in the United Kingdom (“Augmentum Studios”, “we”, “us”, or “our”).
By installing or using the App in connection with your Shopify store, you (“you”, “your”, or the “Merchant”) agree to be bound by these Terms. If you do not agree to these Terms, do not install or use the App.

The App is made available through the Shopify App Store and integrates with the Shopify platform. Your use of Shopify itself is governed by Shopify’s own terms of service and policies, which are separate from these Terms.
The App is an Upsells & Bundles app that:
read_orders, read_reports, read_products, write_products, read_themes, locales access, read_translations, and metaobject access) to display offers, add line item properties, provide translations/localization where enabled (including accurate in-editor previews of translated widget copy before publication), provide aggregated analytics (views, add-to-carts, purchases, attributed revenue), enrich dashboard analytics with store-level reporting context where available to support merchant decision-making, and store offer configuration data via Shopify Metaobjects for efficient storefront delivery.Because the App depends on Shopify’s APIs, theme configuration, and your store setup, its exact behavior may vary between merchants.

By installing and using the App, you authorize us to access and process certain data from your Shopify store via Shopify’s APIs, including:
read_orders – to identify orders that contain offer-attributed items and attribute aggregated revenue to specific offers;read_reports – to read store-level reporting data from Shopify in order to enrich analytics and contextual insights in the App’s dashboard, helping you interpret offer performance and make better-informed decisions;read_products and write_products – to allow you to configure offers and to add line item properties to distinguish offer-originated items in the cart;read_themes – to determine the installation status of the App Block in your theme and provide related feedback in the Admin UI;read_translations – to read translation resources so the App can show accurate previews of localized widget text in the editor before you publish or launch those changes on the storefront;read_metaobjects and write_metaobjects – to read and write Metaobject entries used to store structured offer configuration data for efficient storefront delivery, following Shopify’s recommended approach for apps managing custom data;read_metaobject_definitions and write_metaobject_definitions – to read and create the Metaobject type definitions required by the App, which are set up during App installation.We use these permissions only as necessary to provide the App’s core functionality and associated analytics, as described in our Privacy Policy.

For usage-based pricing and revenue attribution reporting, the App may need to normalize order amounts into a single currency (USD). Shopify orders typically provide the shop’s currency (the store’s default currency) and the presentment currency (the currency the shopper paid in), but do not provide all exchange rates needed for consistent normalization across currencies.
To perform this normalization, we retrieve USD exchange rates from Open Exchange Rates (https://openexchangerates.org/) and refresh them hourly. We use the latest available exchange rate at the time of attribution. We do not guarantee that exchange rates will be refreshed without interruption at all times; if a rate refresh fails, we reserve the right to use the last available exchange rate we have stored in our database records, and we will use reasonable efforts to detect issues and restore hourly refresh so that the latest rates are used.
All billing, invoicing, and payment processing for the App is handled by Shopify under your agreement with them. We do not directly process your payment card details.
We may change the App’s pricing or subscription structure in the future. If we do:
If you do not agree to the new fees, you must uninstall the App and/or cancel your subscription before the new fees apply.
Unless required by law or Shopify’s policies, fees are non-refundable. Any refund requests must be handled through Shopify according to their billing policies.
If you upgrade to a paid plan and later wish to downgrade, you must submit a plan downgrade request either via the App’s subscription dashboard (using the downgrade request form linked from the plan page) or by emailing as.support@augmentumstudios.com with the subject line “Plan downgrade request”. Because the App’s pricing is primarily revenue-based, we require downgrade requests to help prevent abuse and support fair billing. To help ensure your request can be processed in time, you should submit it at least 7 days before your Shopify billing cycle renews; however, we will use reasonable efforts to review and process requests as soon as possible. Downgrade eligibility is assessed at the start of the new billing cycle based on your usage and eligibility during the preceding billing cycle, which may result in your next billing cycle being charged before the downgrade is applied; if that occurs and your downgrade is approved, any amount charged for that period will be returned as App credits. You will be downgraded to the highest eligible tier based on your usage and eligibility during the preceding billing cycle.

You remain the controller of your customers’ personal data. We act as processor where we process such data on your behalf through the App.
The App, including all software, code, design, documentation, and content provided by us, is and remains the exclusive property of Augmentum Studios Ltd (and its licensors, if any).
Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to use the App for the sole purpose of operating your Shopify store’s upsell and cross-sell functionality on supported surfaces (including product page, cart page, and cart drawer).

You agree not to use the App in any way that:
We reserve the right (but have no obligation) to suspend or terminate your access to the App if we reasonably believe that your use violates these Terms, applicable law, or poses a security or reputational risk.
We aim to keep the App available and functioning, but:
Where reasonably possible, we will avoid changes that materially degrade the core upsell functionality without notice. However, we do not guarantee uninterrupted operation or that the App will remain unchanged over time.
We may provide support for the App via email or other channels as indicated in the App listing or documentation.
To the maximum extent permitted by law, the App is provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory. We specifically disclaim any implied warranties of:
You are solely responsible for testing the App in your store (including upsell logic, pricing, and checkout flows) before relying on it in a production environment.
We do not warrant that:

Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law (for example, liability for death or personal injury caused by negligence, or for fraud).
You agree to indemnify, defend, and hold harmless Augmentum Studios Ltd and its directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:
These Terms apply from the time you install the App until:
You may uninstall the App at any time via your Shopify admin panel. Uninstallation will typically stop future billing for the App (subject to Shopify’s billing cycle and policies).
We may suspend or terminate your access to the App (in whole or in part) if:

If you continue to use the App after the updated Terms become effective, you are deemed to have accepted the changes. If you do not agree, you must uninstall the App and stop using it.
These Terms, and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of England and Wales.
You and we agree that the courts of England and Wales shall have exclusive jurisdiction to settle any such dispute or claim, subject to any mandatory consumer or other protections that may apply (if applicable).
